Partner Terms & Conditions

These Partner Terms govern the relationship between Dictto (a product of Ruberio, Moergestel, the Netherlands) and approved affiliate partners (“Partner”). By participating in the Dictto Partner Program, the Partner agrees to these Terms.

1. Definitions

• Partner: an individual or entity approved by Dictto to promote the Service in exchange for commission.
• Referral: a new customer who registers via the Partner's unique referral link.
• Commission: the percentage of subscription revenue paid to the Partner for qualifying Referrals.
• Referral Link: the unique URL assigned to the Partner (e.g., dictto.com/ref/partner-code).

2. Admission & Approval

• Participation in the Partner Program requires an application and manual approval by Dictto.
• Dictto reserves the right to accept or reject any application at its sole discretion, without stating reasons.
• Approval may be revoked at any time if the Partner violates these Terms.

3. Commission Structure

• Commission is calculated on the base subscription price (excluding VAT).
• Commission is earned only for the first 3 months of each referred customer's paid subscription.
• Commission is earned only on successful payments. Refunds, chargebacks, or failed payments do not qualify.

4. Payout Terms

• Payouts are processed monthly, within 30 days after the end of each calendar month.
• Minimum payout threshold: €25. Commissions below this threshold roll over to the next month.
• Payouts are made via bank transfer to the account specified by the Partner.
• The Partner is responsible for providing accurate payment details.

5. Attribution & Cookie Window

• Referrals are tracked via a first-party cookie (aff_ref) set when a visitor clicks the Partner's Referral Link.
• The attribution window is 60 days from the click. If the visitor registers within this period, the referral is attributed to the Partner.
• Only the first qualifying referral link is credited — subsequent referral links from different Partners do not overwrite the existing attribution.
• The tracking cookie requires visitor consent in accordance with applicable privacy laws.

6. Partner Obligations

• Disclosure: the Partner must clearly disclose the commercial relationship with Dictto in all promotional content. This is required by the Netherlands Authority for Consumers & Markets (ACM) and applicable advertising regulations. Examples of compliant disclosure: “affiliate link”, “paid partnership”, “#ad”, or “#affiliate”.
• Honest promotion: the Partner must provide truthful and accurate information about Dictto. Misleading claims about features, pricing, or capabilities are prohibited.
• Compliance: the Partner must comply with all applicable laws and regulations, including but not limited to the Dutch Unfair Commercial Practices Act (Wet oneerlijke handelspraktijken).

7. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination and forfeiture of unpaid commissions:

• Self-referral: using your own Referral Link to sign up for Dictto.
• Cookie stuffing: manipulating cookies through hidden iframes, pop-ups, or other deceptive means.
• Paid ads on brand terms: running paid advertising (Google Ads, Meta Ads, etc.) targeting “Dictto” or related brand keywords without prior written approval.
• Spam: sending unsolicited bulk emails or messages promoting Dictto.
• Incentivized clicks: offering rewards or incentives for clicking the Referral Link.
• Impersonation: representing yourself as an employee or official representative of Dictto.

8. Intellectual Property

• Dictto grants the Partner a limited, non-exclusive, revocable license to use the Dictto name and logo for promotional purposes within the scope of the Partner Program.
• The Partner may not modify, alter, or misrepresent the Dictto brand in any way.
• All intellectual property rights to the Dictto platform and brand remain with Ruberio.

9. Termination

• Either party may terminate the partnership with 30 days' written notice.
• Dictto may terminate immediately in case of violation of these Terms, fraud, or illegal activity.
• Upon termination, all earned and unpaid commissions above the minimum threshold will still be paid within 60 days.
• The Referral Link will be deactivated upon termination.

10. Tax Obligations

• The Partner is solely responsible for reporting and paying any taxes due on commissions received, including income tax and VAT where applicable.
• Dictto does not withhold taxes from commission payments.
• Partners operating as a business (ZZP, BV) may need to charge VAT on their commissions — consult your tax advisor.

11. Liability

• Dictto is not liable for the Partner's promotional content, claims, or activities.
• The Partner indemnifies Dictto against any claims arising from the Partner's promotional activities.
• Dictto's total liability under this agreement is limited to the total commissions paid to the Partner in the 12 months preceding the claim.

12. Modifications

Dictto reserves the right to modify these Partner Terms, including the commission structure. Material changes will be communicated via email at least 30 days before they take effect. Continued participation after the effective date constitutes acceptance.

13. Governing Law

These Partner Terms are governed by Dutch law. Any disputes shall be submitted to the competent court in Oost-Brabant, the Netherlands.
